1. Acceptance of Terms

By accessing or using OpticompBharat ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree to these Terms, do not use the Platform.

2. Description of Service

OpticompBharat provides software tools for automated Indian labour law compliance and payroll management, including but not limited to EPF, ESI, PT, TDS, LWF, bonus, gratuity, maternity benefit, and POSH compliance. The Platform is a decision-support tool; final responsibility for statutory compliance remains with the employer.

3. Accounts and Eligibility

You must be at least 18 years old and a registered business entity in India to use the Platform.
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
Notify us immediately at sales@opticomp-bharat.com if you suspect unauthorised access.

4. Free Trial

The SME Free Trial provides full Platform access for companies with up to 50 employees for a period of one year at no charge. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify or discontinue the free trial offering at any time with 30 days' notice.

5. Acceptable Use

You agree not to:

Use the Platform for any unlawful purpose or in violation of applicable Indian law.
Attempt to reverse-engineer, decompile, or extract the source code of the Platform.
Upload or transmit malicious code, viruses, or any content that could harm the Platform or other users.
Resell or sublicense Platform access without prior written consent.
Provide false or misleading information during registration or use.

6. Data Ownership

You retain ownership of all employee and company data you upload to the Platform. By uploading data, you grant us a limited licence to process it solely to provide the services described in these Terms. We do not claim any ownership over your data. On account termination, you may export your data within 30 days; after that, data may be deleted subject to statutory retention obligations.

7. Compliance Disclaimer

The Platform automates calculations based on the statutes and notifications in force at the time of processing. We make reasonable efforts to keep rules up to date. However, Indian labour law is subject to frequent central and state amendments, and we cannot guarantee that every notification is reflected immediately. Final responsibility for statutory compliance rests with you, the employer. Always consult a qualified legal or tax advisor for case-specific decisions.

8. Intellectual Property

The Platform, including its software, design, trademarks, and content (excluding your data), is owned by OpticompBharat Technologies Pvt. Ltd. and protected by applicable intellectual property laws. Nothing in these Terms transfers ownership of Platform IP to you.

9. Limitation of Liability

To the maximum extent permitted by law, OpticompBharat shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform, including any statutory penalties, fines, or legal costs incurred due to compliance failures. Our total aggregate liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.

10. Termination

Either party may terminate the agreement at any time with 30 days' written notice. We may suspend or terminate your account immediately if you breach these Terms, engage in fraudulent activity, or if continued service poses a legal or security risk. Upon termination, your right to access the Platform ceases and provisions that by their nature should survive (data retention, IP, limitation of liability) will remain in effect.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra. We encourage you to contact us first at sales@opticomp-bharat.com to resolve disputes informally.

12. Changes to These Terms

We may revise these Terms at any time. Material changes will be communicated via email or in-app notice at least 14 days before taking effect. Continued use after that date constitutes acceptance of the revised Terms.
